1. Agreement to Terms

By accessing or using the VERDIX API ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you may not access the Service.

VERDIX (the "Company," "we," "our," or "us") provides a stock and dividend data API service. These Terms apply to all users, including free and paid subscribers.

2. Eligibility

You must be at least 18 years old to use this Service. By using the Service, you represent and warrant that:

• You are at least 18 years of age
• You have the legal capacity to enter into binding contracts
• Your use complies with all applicable laws and regulations
• All information you provide is accurate and complete

3. Account Registration

3.1 Account Creation

To use the Service, you must:

• Provide a valid email address
• Choose a subscription tier (Free, Hobbyist, Professional, or Enterprise)
• Agree to these Terms and our Privacy Policy

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your API key
• All activities that occur under your account
• Notifying us immediately of unauthorized use

4. Subscription Plans and Pricing

4.1 Payment Terms

• Billing Cycle: Monthly subscriptions are billed on the date you subscribe
• Payment Method: Credit card via Stripe (secure payment processing)
• Auto-Renewal: Subscriptions auto-renew unless canceled
• Failed Payments: Service may be suspended after 3 failed payment attempts

4.2 Price Changes

We may change pricing with 30 days' notice. Current subscribers' pricing is grandfathered for 12 months from the change.

4.3 Refunds

• Pro-rated refunds for annual plans canceled within 30 days
• No refunds for monthly subscriptions (cancel anytime for next cycle)
• Refunds for service outages exceeding SLA guarantees

5. API Usage and Restrictions

5.1 Acceptable Use

You may use the API to:

• Build applications and services
• Perform research and analysis
• Integrate stock data into your products

5.2 Prohibited Use

You may NOT:

• Abuse Rate Limits: Circumvent or bypass rate limiting mechanisms
• Resell Data: Redistribute or resell our API data without permission
• Scrape or Cache Excessively: Store data beyond reasonable caching (30 days max)
• Reverse Engineer: Attempt to reverse engineer our algorithms or systems
• Share API Keys: Allow others to use your API key
• Illegal Activities: Use the Service for fraud, market manipulation, or illegal purposes
• Competitive Use: Use the API to build a competing API service
• Harmful Activities: Attack, hack, or disrupt our infrastructure

5.3 Rate Limits

Each plan has daily and per-minute limits. Exceeding limits will result in:

• HTTP 429 (Too Many Requests) responses
• Temporary blocking (resets daily or after 1 minute)
• Account suspension for repeated violations

5.4 Fair Use Policy

Even within your limits, we reserve the right to throttle or suspend accounts engaging in:

• Unusual patterns suggesting abuse
• Excessive caching or data hoarding
• Activities that strain our infrastructure

6. Data and Content

6.1 Our Data

We provide:

• Stock Quotes: Real-time and historical price data
• Fundamentals: Company financial metrics
• Dividend Data: Dividend history and payments
• VERDIX Scores: Proprietary dividend quality scores (our unique value)

6.2 Data Accuracy

While we strive for accuracy:

• Data may contain errors or delays
• We rely on third-party data sources (Yahoo Finance, etc.)
• Historical data may be adjusted or restated
• We make no guarantees of completeness or accuracy

6.3 Intellectual Property

• VERDIX Scores: Our proprietary algorithms are our intellectual property
• API Design: Our API structure and documentation are copyrighted
• Your Use: You may use the data as permitted, but you don't own it
• Attribution: If publicly displaying our data, attribute it to "VERDIX"

7. Service Level Agreement (SLA)

7.1 Uptime Guarantees

7.2 Maintenance

We may perform scheduled maintenance with 24 hours' notice. Emergency maintenance may occur without notice.

9. Termination

9.1 By You

You may cancel your subscription anytime:

• Access remains until end of billing period
• No pro-rated refunds for monthly plans
• Can delete your account and data via support@verdix.com

9.2 By Us

We may suspend or terminate your account if you:

• Violate these Terms
• Fail to pay (after 3 attempts)
• Engage in abusive or illegal activities
• Pose a security risk

We'll provide 7 days' notice unless immediate termination is necessary for security.

10. Disclaimers and Limitations of Liability

10.1 "AS IS" Service

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING:

• Merchantability
• Fitness for a particular purpose
• Non-infringement
• Accuracy or reliability of data

10.2 No Investment Advice

WE ARE NOT A REGISTERED INVESTMENT ADVISOR. OUR DATA AND SCORES ARE FOR INFORMATIONAL PURPOSES ONLY. WE DO NOT RECOMMEND ANY SECURITIES OR INVESTMENT STRATEGIES.

10.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VERDIX SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, or consequential damages
• Lost profits, revenue, or data
• Investment losses
• Business interruption
• Damages exceeding the amount you paid us in the last 12 months

10.4 Indemnification

You agree to indemnify and hold harmless VERDIX from claims arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any laws or third-party rights

11. Changes to Terms

We may update these Terms at any time. We'll notify you of material changes via:

• Email to your registered address
• Prominent notice on our website
• In-app notification

Continued use after changes constitutes acceptance. If you disagree, cancel your subscription.

12. Dispute Resolution

12.1 Informal Resolution

Before filing a claim, contact us at legal@verdix.com to resolve the issue informally.

12.2 Arbitration

Any disputes will be resolved through binding arbitration rather than in court, except:

• Small claims court cases
• Intellectual property disputes

12.3 Governing Law

These Terms are governed by the laws of [Your State/Country], without regard to conflict of law provisions.

13. Miscellaneous

13.1 Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and VERDIX.

13.2 Severability

If any provision is found unenforceable, the remaining provisions remain in effect.

13.3 Waiver

Our failure to enforce any right doesn't waive that right.

13.4 Assignment

You may not assign these Terms. We may assign them to a successor or affiliate.

13.5 Force Majeure

We're not liable for delays or failures due to events beyond our control (natural disasters, wars, pandemics, etc.).
